Terms of Service

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement to use the Service. By using the Service you represent that you meet these requirements.

2. Acceptable Use

• You may use the Service only for lawful business purposes and in accordance with these Terms.
• You may not use the Service to transmit unlawful, harmful, harassing, defamatory, infringing, or otherwise objectionable content.
• You may not reverse-engineer, decompile, scrape, or attempt to extract the source code of the Service.
• You may not use the Service in a way that imposes an unreasonable or disproportionately large load on our infrastructure.
• You may not use automated means (bots, scrapers) to access the Service except through our published API with prior written consent.
• You may not resell or sublicense access to the Service without our express written permission.

We reserve the right to suspend or terminate accounts that violate these rules, without prior notice and without refund.

3. Accounts

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized access at eron@aquilastrategies.xyz.

4. Billing & Refunds

• Paid plans are billed in advance on a monthly or annual cycle via Stripe. All fees are stated in USD and are exclusive of taxes.
• You may cancel your subscription at any time from the Billing page. Cancellation takes effect at the end of the current billing period; you retain access until then.
• Refunds. We do not offer pro-rated refunds for partial billing periods. If you believe you were charged in error, contact us within 14 days of the charge at eron@aquilastrategies.xyz and we will review the request in good faith.
• We may change pricing at any time. We will provide at least 30 days notice of price increases to existing subscribers.
• One-time add-on purchases are non-refundable once the associated service has been provisioned.

5. Intellectual Property

The Service, including its software, design, and documentation, is owned by Aquila Strategies LLC and protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

You retain all rights to content you create inside the Service. By uploading content you grant us a limited license to store, display, and process it solely to operate the Service on your behalf.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL AQUILA STRATEGIES LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT WILL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Aquila Strategies LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Service or violation of these Terms.

10. Dispute Resolution & Arbitration

These Terms and any dispute arising out of or related to them or the Service shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles. You and the Company agree to attempt to resolve any dispute informally first by contacting us at eron@aquilastrategies.xyz. If informal resolution fails, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association in Miami-Dade County, Florida, on an individual basis (no class actions).

11. Modifications

We may update these Terms at any time. We will notify you of material changes by email or by posting a notice in the Service at least 14 days before the changes take effect. Continued use after the effective date constitutes acceptance.

12. Termination

Either party may terminate the relationship at any time. We may terminate or suspend your account immediately, without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately.
